Preparing a distribution agreement

I have to prepare a distribution agreement where I, as the developer, will be responsible for bug fixes and on-going development and the other party, as the distributor, will be responsible for sales and marketing, installation and support. Does anyone have, or know of, a good document that I could use as a template?

Besides that all i can say is to remember to set yourself limits and specifics, you will fix bugs, but not add features, you do not HAVE to fix something that is the consequence of the user incorrectly using the software.

I'm not exactly experienced though, i was only lookin in this section because i'm also looking for some legal mumbo jumbo

Thanks Phill. I'm still only at the draft stage on this so I'll take a look at your links.
